By accessing our platform, utilizing our digital services, or executing any work agreement with Ibex Digital Solutions, you acknowledge your full acceptance and binding commitment to all the terms outlined herein.

These terms and conditions constitute a legally binding framework between your organization and Ibex. If you do not agree with any part of these conditions, please refrain from using our digital services and tech infrastructure immediately.

Project Scope & Technical Revisions | Ibex

Project Scope & Technical Revisions

All digital solutions are engineered strictly in accordance with the approved and signed Scope of Work (SOW) document executed prior to project initiation, which defines all features, deliverables, and timelines.

Any additional feature requests, structural modifications, or revisions outside the scope of this baseline document are treated as separate technical requirements. Ibex reserves the right to evaluate these updates for architectural and time impacts, issuing a separate financial and timeline addendum before execution to maintain system stability and milestone integrity.

Platform Licensing & Intellectual Property

Upon final project delivery and fulfillment of all financial milestones, Ibex grants your company exclusive, unrestricted operational rights to utilize the deployed digital infrastructure and systems.

The underlying source code and proprietary core libraries remain the exclusive property of Ibex. Full ownership of the source code is not transferred to the client unless explicitly stipulated under a dedicated clause in the initial contract executed before backend development begins.

    <strong>Ibex</strong> strictly schedules and initiates technical and development work only after the client organization completes an advance payment of at least <strong>25% of the total invoice or contract value</strong>. Engineering operations will not commence until this amount is formally verified and acknowledged through an <strong>official payment receipt issued by us</strong>.

    The remaining contract balance is distributed across milestone-based payments explicitly defined in the initial agreement. In the event of any subsequent payment delays, Ibex reserves the absolute right to <strong>temporarily suspend project development</strong> and restrict access to staging environments or associated servers. Ibex bears no technical or legal liability for altered delivery timelines resulting from such actions, until all outstanding financial milestones are fully settled.

Technical Warranty & Limitation of Liability

Ibex commits to providing a defined technical warranty period (as stipulated in the initial agreement) starting upon system launch. This warranty is strictly limited to identifying and rectifying development-related bugs and system defects at no additional cost.

Ibex bears no legal or financial liability for any direct, indirect, incidental, or consequential damages—including business interruption or loss of profits—arising from third-party hosting or infrastructure failures, cyber threats resulting from client-side credential negligence, or any code modifications executed by external developers without our direct engineering supervision.

Service Termination & Dissolution | Ibex

Service Termination & Dissolution

Either party may terminate the agreement or halt project progression by providing at least 15 days' prior written notice via official registered email to the other party.

If termination is initiated by the client organization, the client remains fully obligated to settle all outstanding balances due to Ibex for all completed technical milestones and engineering hours logged up to the effective termination date. Ibex reserves the right to terminate services immediately without prior notice in cases of material breach, including prolonged payment delays beyond the agreed terms or failure to provide critical data required to sustain system architecture and development.
